These Terms and Conditions (“Terms” or “Agreement”) govern your access to and use of the ParcSync mobile application (the “App”), including any content, functionality, and services offered on or through the App. The App is provided by ParcSync Inc. (“ParcSync,” “we,” “us,” or “our”). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, you must not download, install, access, or use the App.

The App is a parking management tool that allows users to locate and reserve parking spaces, sync with vehicle data, and receive notifications for parking-related services, all at no cost to the user for parking reservations.

1. License Grant

Subject to your compliance with these Terms, ParcSync grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Download, install, and use the App on a single mobile device owned or controlled by you for your personal, non-commercial use.
  • Access and use the App’s features, such as parking spot search, reservation, and notifications, solely for lawful purposes. This license does not include the right to:
    • Copy, modify, adapt, translate, reverse engineer, disassemble, decompile, or create derivative works based on the App or any part thereof, except as expressly permitted by applicable law.
    • Distribute, sell, rent, lease, or otherwise transfer the App or any rights granted under these Terms.
    • Remove, alter, or obscure any proprietary notices, labels, or marks on the App.

    • Use the App in any manner that violates applicable laws, regulations, or third-party rights.

2. Intellectual Property Rights

The App, including all software, documentation, graphics, user interfaces, and related materials, is owned by ParcSync or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by ParcSync. You acknowledge that no title to the App or any intellectual property rights therein is transferred to you, and these Terms do not constitute a sale of the App or any intellectual property rights.

3. User Accounts and Responsibilities

To access certain features of the App, you may need to create an account (“Account”). You agree to:

  • Provide accurate, current, and complete information during registration and keep your Account information updated.
  • Maintain the confidentiality of your Account credentials and notify ParcSync immediately of any unauthorized use.
  • Be solely responsible for all activities that occur under your Account.

ParcSync reserves the right to suspend or terminate your Account if we suspect fraudulent activity, violation of these Terms, or any unlawful conduct.

4. User Content

The App may allow you to submit, post, or transmit content, such as vehicle details, parking preferences, or feedback (“User Content”). You retain ownership of your User Content but grant ParcSync a worldwide, royalty-free, perpetual, irrevocable license to use, store, display, reproduce, modify, create derivative works, and distribute your User Content for purposes of operating, improving, and promoting the App and our services. You represent and warrant that your User Content:

  • Does not infringe any third-party rights.
  • Is not unlawful, defamatory, obscene, or harmful.
  • Complies with all applicable laws.

ParcSync is not responsible for reviewing or moderating User Content and disclaims all liability arising from it.

5. Privacy and Data Collection

Your use of the App is also governed by our Privacy Policy, incorporated herein by reference, which describes how we collect, use, and disclose your personal information. By using the App, you consent to such practices. The App may collect location data, device information, and usage data to provide services such as parking spot location and reservation. You can manage certain privacy settings within the App, but some features may require data sharing.

6. Third-Party Services and Links

The App may integrate with third-party services, such as mapping services (e.g., Google Maps) or parking providers. Your use of these services is subject to their separate terms and policies, and ParcSync is not responsible for their performance or content. The App may contain links to third-party websites. We do not endorse these sites and are not liable for any content or interactions occurring thereon.

7. No Fees for Parking Reservations

The App allows users to locate and reserve parking spaces at no cost. However, parking availability is subject to the policies and availability of parking providers, and ParcSync does not guarantee the availability of parking spaces.

8. Prohibited Conduct

You agree not to:

  • Use the App for any illegal, unauthorized, or harmful purpose.
  • Interfere with the App’s operation, security, or other users’ experience (e.g., via viruses, spam, or excessive requests).
  • Attempt to gain unauthorized access to the App, our systems, or other users’ data.
  • Harvest or collect information about users without consent.
  • Impersonate any person or entity.

Violation of these terms may result in immediate termination of your access and legal action.

9. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PARCSYNC DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR AVAILABILITY OF PARKING INFORMATION OR SERVICES PROVIDED THROUGH THE APP. PARKING RESERVATIONS ARE SUBJECT TO AVAILABILITY AND THIRD-PARTY CONFIRMATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARCSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless ParcSync, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your User Content, or your use of the App.

12. Termination

These Terms are effective until terminated. You may terminate by uninstalling the App and deleting your Account. ParcSync may terminate these Terms and your access at any time, with or without notice, for any reason, including violation of terms. Upon termination, you must cease all use of the App, and any provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability) will do so.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You agree to submit to the personal jurisdiction of such courts and waive any objections to venue.

14. Changes to These Terms

ParcSync may update these Terms from time to time. We will notify you of material changes via the App, email, or our website. Continued use of the App after changes constitutes acceptance.

15. Miscellaneous

These Terms constitute the entire understanding between you and ParcSync and supersede all prior agreements. If any provision is held invalid, the remainder remains in effect. No waiver of any term shall be deemed a further or continuing waiver. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our consent; we may assign them freely.
